By accessing or using Kontiv (the “Service”), you agree to be bound by these Terms of Service (“Terms”). The Service is operated by Kontiv Solutions (“we,” “us,” or “our”) in Malaysia.

If you do not agree to these Terms, you may not access or use the Service.

Kontiv is a decision intelligence platform designed to support human resource professionals in managing high-stakes people decisions, including probation assessments, performance management, and disciplinary actions.

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under Malaysian law.

3.2 Account Registration

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Keep your information up to date
• Accept responsibility for all activity under your account

3.3 Organisational Accounts

If you register on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4.1 Permitted Use

You may use the Service only for lawful purposes and solely for managing legitimate human resource decisions within your organisation.

4.2 Prohibited Activities

• Unlawful, fraudulent, or misleading use
• Violation of Malaysian laws or regulations
• Interference with Service operation or security
• Unauthorised access attempts
• Processing personal data without proper authority
• Reverse engineering or decompiling the Service
• Removing proprietary notices
• Harmful use involving minors
• Uploading malware or malicious code
• Automated scraping or crawling

4.3 Compliance with Employment Laws

You are solely responsible for ensuring compliance with all applicable Malaysian employment and labour laws, including the Employment Act 1955, Industrial Relations Act 1967, and Personal Data Protection Act 2010.

Our processing of personal data is governed by our Privacy Policy. You are responsible for obtaining necessary employee consents and complying with PDPA as a data user.

You retain ownership of all data you input into the Service.

6.1 Our Intellectual Property

The Service and all related software, designs, text, graphics, and content are owned by Kontiv Solutions and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

6.2 Trademarks

“Kontiv” and related marks are trademarks of Kontiv Solutions and may not be used without written consent.

6.3 Feedback

Any feedback you provide may be used by us without obligation or compensation.

• Fees are payable in Malaysian Ringgit unless stated otherwise
• Subscriptions are billed monthly or annually
• Prices may change with reasonable notice
• Fees exclude applicable taxes (including SST)
• Payments are non-refundable except where required by law

Free trials or pilots may be offered at our discretion and may be modified or terminated at any time.

• We may suspend or terminate access for violations or legal reasons
• Access ends immediately upon termination

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. Kontiv does not provide legal or HR advice. AI features assist judgment but do not replace it.

To the maximum extent permitted by Malaysian law, our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

You agree to indemnify and hold harmless Kontiv Solutions from any claims arising from your use of the Service, legal violations, or employment disputes.

These Terms are governed by the laws of Malaysia. Any disputes are subject to the exclusive jurisdiction of Malaysian courts.

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
